Merchant Payment Terms and Conditions

1. Introduction

Welcome to Buddy Industries (Pty) Ltd ("we", "us", "our"). These Terms and Conditions ("Terms") govern the relationship between Buddy Industries (Pty) Ltd and businesses ("you", "your", "Merchant") using our services to facilitate payments via website links and mobile apps.

By using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

2. Services

Buddy Industries (Pty) Ltd offers payment processing services, allowing your customers to pay you via various payment methods through our mobile apps and websites. Upon successful transactions, payment settlements will be made to your designated account.

3. Acceptance of Terms

Using our services signifies your full acceptance of these Terms. It is your responsibility to review these Terms periodically, as they may be updated from time to time. Continued use of our services following any changes constitutes your acceptance of the revised Terms.

4. Merchant Responsibilities

4.1 Compliance and Verification

• You are responsible for complying with all applicable laws and regulations related to your use of our services.
• You must verify all payments before delivering any goods or services to your customers. Buddy Industries (Pty) Ltd is not liable for any losses or damages resulting from your failure to verify payments.

4.2 Risk and Fraud Management

• You are liable for any risk and fraud associated with transactions. If you do not follow best practices in fraud prevention, you assume full responsibility for any fraudulent activities.
• Implement and maintain appropriate security measures to protect your business and your customers.

5. Payment Settlement

• Payment settlements will be made to your designated account as per our standard settlement cycle.
• You are responsible for providing accurate and up-to-date banking information to facilitate settlements. Buddy Industries (Pty) Ltd is not responsible for any delays or failures in settlement due to incorrect or outdated information.

6. Fees and Charges

• Fees for using our services will be outlined in your Merchant Agreement. These fees may be subject to change, and we will notify you of any changes in advance.
• All fees are non-refundable unless otherwise stated.

7. Termination

• We reserve the right to terminate or suspend your access to our services at any time, without notice, if you violate these Terms or if we suspect fraudulent activity.
• You may terminate your use of our services by providing written notice to us. Upon termination, you must cease all use of our services.

8. Limitation of Liability

• Buddy Industries (Pty) Ltd is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
• Our total liability to you for any claim arising out of or relating to these Terms or our services is limited to the amount of fees you have paid us in the six months preceding the claim.

9. Indemnification

You agree to indemnify and hold Buddy Industries (Pty) Ltd, its affiliates, and their respective officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your use of our services, your violation of these Terms, or your violation of any rights of a third party.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Namibia, without regard to its conflict of law principles.
